⚠ Important Note for Foreign Parent Companies

If the shareholder is a company registered outside Georgian jurisdiction, you must provide an apostilled or legalized company extract. Additionally, a shareholders' resolution (in accordance with the company's bylaws) regarding the incorporation of the Georgian entity is required. For banking purposes, detailed information of the parent company and all documents up to the UBO (Ultimate Beneficial Owner) will be required.

Ultimate Beneficial Owner (UBO) Disclosure

Georgian law requires the identification and registration of the Ultimate Beneficial Owner — the natural person who ultimately owns or controls more than 25% of the company's shares. For foreign parent companies, the entire ownership chain must be traced and documented.

Labor Migration Services

Effective March 1, 2026, Georgia has implemented a new mandatory work permit system. Foreign nationals must obtain a Special Labour Activity Permit before beginning any work in Georgia.

🔔 New Regulations Effective March 1, 2026

All foreign workers, including employees of Georgian companies, freelancers, and entrepreneurs, must hold a valid Special Labour Activity Permit. Fines of 2,000 GEL apply to both worker and employer for non-compliance.

Employer Application

The Georgian employer submits the application with a signed employment contract to the Ministry of Health.

Ministry Review

The Ministry issues a decision within 30 calendar days. Renewal must be submitted 40 days before expiry.

Visa or Residence Permit

After permit approval: apply for D1 visa (if abroad, within 30 days) or Labour Residence Permit (if in Georgia, within 10 days).

Compliance

Maintain valid permit and residence status. Transition period for existing workers until January 1, 2027.
